Terms of Service

By accessing or using FlipDistro ("Platform", "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use our Platform. These Terms apply to all users including artists, marketers, and visitors.

FlipDistro is a music distribution and artist growth platform that provides:

• Digital music distribution to 18+ streaming platforms globally
• Royalty tracking, analytics, and payment management
• A Marketing Marketplace connecting artists with music marketers
• Royalty split management for collaborators
• ISRC and UPC code generation

You must be at least 13 years old to use our Platform. By creating an account, you represent that all information you provide is accurate and that you will maintain accurate account information.

You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.

By uploading music to FlipDistro, you represent and warrant that:

• You own or have all necessary rights to the music, lyrics, artwork, and all other content submitted
• The content does not infringe any third-party intellectual property rights
• You grant FlipDistro a non-exclusive, worldwide license to distribute, reproduce, and display your content on streaming platforms on your behalf
• You retain full ownership of your master recordings and compositions

Content that is plagiarized, contains unauthorized samples, or violates copyright will be removed and your account may be suspended.

Free Plan: FlipDistro retains 20% of all royalty earnings generated from streaming platforms as a distribution service fee. You receive 80% of all royalties.

Pro Plan ($19.99/year): You keep 100% of all royalty earnings with no commission deducted. The subscription is annual and automatically applies for 12 months from the date of payment.

Marketplace Transactions: FlipDistro charges a 5% platform service fee on all campaign payments made through the Marketplace. This is automatically calculated and deducted at the time of payment.

For Artists: You agree to pay the full agreed price plus the 5% FlipDistro platform fee. You must provide clear campaign briefs and not engage in disputes in bad faith.

For Marketers: You agree to deliver services as described and on time. Misrepresentation of services or failure to deliver may result in account suspension and chargebacks.

All payments through the Marketplace must be processed within the FlipDistro platform. Off-platform payments circumvent our dispute protection and are prohibited.

You may not upload or use our Platform to distribute:

• Content that infringes copyrights, trademarks, or other intellectual property rights
• Music containing unauthorized samples or interpolations
• Content that is defamatory, obscene, or violates applicable laws
• Spam, artificial streams, or engagement manipulation
• Music uploaded in bad faith or for royalty fraud purposes

Withdrawal requests are subject to a minimum threshold and processed within 3–7 business days. We reserve the right to delay or hold payments if we detect suspicious activity or pending disputes.

FlipDistro is not responsible for delays caused by banking institutions, payment processors, or circumstances beyond our control.

We may terminate or suspend your account at any time for violations of these Terms, fraudulent activity, or any behavior that harms other users or the Platform. You may close your account at any time by contacting support.

FlipDistro is not liable for indirect, incidental, or consequential damages arising from your use of the Platform. Our total liability shall not exceed the total fees paid by you in the 12 months preceding any claim.

These Terms are governed by applicable law. Any disputes shall be resolved through binding arbitration before resorting to litigation.
